1. Commercial Use & Licensing

NextStrategy is a strategy analysis and formation platform provided for professional, commercial use only. By using this Service, you represent and warrant that you are at least 18 years of ageand that you have the legal capacity to enter into a binding agreement.

B2B Service Status: This platform is designed and offered as a Business-to-Business (B2B) service. The protections typically granted to private consumers under consumer protection laws may not apply to your professional use of the platform.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access the platform for your internal business purposes.

Usage Scope: The platform is licensed strictly for use by the specific organization that has subscribed to the service. Access may be shared only with authorized members of said organization. The Service must only be used for its intended purpose of strategy analysis, formation, execution and evaluation.

You represent and warrant that you have the authority to bind your organization to these Terms and that the data you provide is accurate and lawful.

2. AI-Generated Content & Accountability

The platform utilizes Generative Artificial Intelligence (AI) to assist in business analysis and strategy formation.You acknowledge that AI-generated output is for informational purposes only.

Strategic decisions involve significant business risk. You are solely responsible for the verification, review, and implementation of any strategies generated or assisted by the platform. Beyond the technical operation of the software, Next Technology AS does not provide professional business or legal advice.

3. Intellectual Property

The platform and its original content (excluding user-provided data), features, and functionality (including but not limited to strategic prompts, analysis models, and proprietary methodology) are and will remain the exclusive property of Next Technology AS.

Usage Restrictions: You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code or strategic prompt logic of the Service.
• Re-sell or distribute the strategic logic or proprietary models as a stand-alone service.
• Copy, modify, or create derivative works based on the platform's visual identity or underlying software.

4. Limitation of Responsibility

Next Technology AS provides the Service on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted or error-free.

Downtime & Performance: While we maintain periodic backups of the Service, Next Technology AS shall not be held liable for any malfunction, error, or failure to retrieve data from said backups. In no event shall we be liable for loss of data resulting from service interruptions. It remains your primary responsibility to maintain secondary records of your strategic outcomes outside of the platform.

Strategic Risk: We shall not be held liable for any commercial loss, profit reduction, or damage to business reputation arising from your strategic actions, regardless of whether such actions were informed by platform output.

5. Termination

Termination by Us: We reserve the right to suspend or terminate your access to the Service in the event of a material breach of these Terms, non-payment of fees, or activities that compromise the security and integrity of the platform. While we aim to provide prior notice where commercially reasonable, we may bar access immediately if required by law or to protect our legitimate business interests.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so via the "Danger Zone" in your settings.

6. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.

Venue: Any disputes arising under or in connection with these Terms shall be exclusively brought before the Bergen District Court (Bergen tingrett), Norway, which shall have exclusive jurisdiction over any such dispute.

7. Subscriptions & Price Regulation

Auto-Renewal: Your subscription to the Service is set to renew automatically at the end of each billing cycle (annual) by default. Payment for the renewal will be charged using the payment method on file unless you cancel the renewal before the end of the current term.

Cancellation of Renewal: You may cancel the automatic renewal of your subscription at any time through the subscription management section within your organization settings. Cancellation of the renewal will take effect at the end of the current billing cycle.

Invoiced Subscriptions: While our primary method of billing is via Stripe auto-renewal, some organizations may be permitted to pay via manual invoice. For subscriptions paid via invoice, any termination or cancellation must be provided in writing no later than 14 days prior to the upcoming renewal date to avoid being billed for the subsequent term.

Price Adjustments & Index Regulation: Next Technology AS reserves the right to adjust the prices for the Service. Prices may be subject to ordinary annual index regulation without specific prior notice.

Notifications of Changes: For any pricing changes exceeding ordinary index regulation, or material changes to the product model, we will notify you at least thirty (30) daysprior to the effective date of the change. Such notifications will be sent to the contact email address provided for your organization on the organization settings page.

8. AI Strategic Capacity & Usage Limits

To ensure system stability and fair resource allocation, AI-powered features (including Strategy Coach and automated synthesis) are subject to Strategic Capacity limits.

Allocation: Each subscription tier includes a specific quota of Strategic Capacity units per billing period. Usage is tracked at the organization level.

Exhaustion: Once your organization's Strategic Capacity is exhausted, AI features may be temporarily disabled until the next billing cycle or until additional capacity is purchased. We reserve the right to throttle or limit access if we detect usage patterns that threaten the stability of our infrastructure.
